We are looking for an experienced Corporate Paralegal to help support our Contracts/Legal Department in our Marietta, GA office.

The primary responsibilities include:

• Review, edit, and negotiate commercial and governmental contracts
• Maintain database of corporate Secretary of State filings
• Prepare and file annual reports with the Secretary of State
• Communicate with various franchise tax boards to maintain state tax records
• Organize and maintain an electronic contracts database
• Provide support to in-house and outside counsel
• Proofread documents
• Administrative duties

Qualifications:

• At least 1 – 4 experiences in a corporate paralegal or assistant corporate secretary role; private law firm experience may be considered
• At least 2 years’ experience filing and maintaining corporate documents
• High school diploma required; College degree preferred
• Experience dealing with various state franchise tax boards
• Ability to critically analyze, comprehend, and modify contract language, including document review, redlining and negotiation
• Thorough knowledge and experience with Microsoft Office; SharePoint experience highly desired
• Strong and effective written and verbal communication skills
• Ability to maintain a high level of confidentiality
• Strong organizational and analytical skills
• Very detail oriented
• Ability to prioritize responsibilities and coordinate several activities at once
• Insurance experience desired
